1.1 These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and Knights Agency Ltd trading as Kasorb ("Kasorb", "we", "us", "our"), the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights.
1.2 Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website or upon making a booking through our online booking system. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately and not proceed with any booking.
1.3 These terms and conditions govern both your use of the Website and any training course bookings made through our online booking system.
1.4 You must be at least 18 years of age to use this Website or make bookings. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.
In these terms and conditions:
"Booking" means a request for training Services submitted through the online booking system and confirmed by Kasorb.
"Booking Confirmation" means the formal email confirmation sent from bookings@kasorb.com confirming the details of your Booking.
"Content" means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Website.
"Course" or "Training Course" means any training programme or course offered by Kasorb.
"Course Fee" means the fee payable for the Services as confirmed at the time of Booking.
"Course Materials" means all training and course materials, content, downloadable content, slides, documentation, lesson plans, overviews, handouts, recordings, example forms, scenarios, quizzes, polls, policies, practices and processes provided in connection with the Services.
"Learner" or "Delegate" means any individual attending a Training Course.
"Purchaser" means the person or organisation making a Booking and responsible for payment.
"Services" means the training services provided by Kasorb as set out in the Booking Confirmation.
"User" means any third party that accesses the Website and is not either (i) employed by Kasorb and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Kasorb.
"Website" means www.kasorb.com including the online booking system.
3.1 All Content included on the Website, unless uploaded by Users, is the property of Kasorb, our affiliates or other relevant third parties. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner's prior written permission.
3.2 You may, for your own personal, non-commercial use only, retrieve, display and view the Content on a computer screen.
3.3 You must not otherwise reproduce, modify, copy, distribute or use for commercial purposes any Content without the written permission of Kasorb.
3.4 Kasorb shall retain ownership of all Course Materials at all times. We grant you a limited, non-exclusive, non-transferable, royalty-free licence in the UK to utilise the Course Materials solely for the purpose of receiving and using the Services. You shall not seek to derive benefit or commercial advantage from the Course Materials or Intellectual Property rights of Kasorb in whole or in part. You shall not sub-license, assign or otherwise transfer the rights granted under this clause.
3.5 Each party agrees to indemnify the other against any actions, costs, liabilities, losses, damages and expenses which the other may suffer or incur as a result of any claim by a third party in relation to ownership or use of any relevant Intellectual Property provided by that party.
4.1 You may not use the Website for any of the following purposes:
(a) in any way which causes, or may cause, damage to the Website or interferes with any other person's use or enjoyment of the Website;
(b) in any way which is harmful, unlawful, illegal, abusive, harassing, threatening or otherwise objectionable or in breach of any applicable law, regulation, governmental order;
(c) making, transmitting or storing electronic copies of Content protected by copyright without the permission of the owner;
(d) making fraudulent or speculative Bookings;
(e) impersonating another person or entity when making a Booking.
5.1 You must ensure that the details provided by you on registration or at any time are correct and complete.
5.2 You must inform us immediately of any changes to the information that you provide when registering by updating your personal details to ensure we can communicate with you effectively.
5.3 We may suspend or cancel your registration with immediate effect for any reasonable purposes or if you breach these terms and conditions.
5.4 You may cancel your registration at any time by informing us in writing to the address at the end of these terms and conditions. If you do so, you must immediately stop using the Website. Cancellation or suspension of your registration does not affect any statutory rights or any outstanding Bookings or payment obligations.
5.5 You are responsible for maintaining the confidentiality of your account login details and for all activities that occur under your account.
6.1 The online booking system allows you to request and book training Services. A Booking is only confirmed once you have received a formal Booking Confirmation email from bookings@kasorb.com. Please ensure you add this address to your safe senders list.
6.2 By making a Booking, you agree to be bound by these terms and conditions in full.
6.3 All information provided when making a Booking must be accurate, complete and current. You are responsible for ensuring all booking details are correct, including but not limited to:
(a) Course topic and any specific requirements;
(b) Preferred date(s) for delivery;
(c) Full venue address including postcode, or confirmation of virtual delivery;
(d) Contact details for the booking contact and contact on the day of training, including email address and phone number;
(e) Any purchase order numbers or approval codes required for invoicing;
(f) Any special requirements or accessibility needs.
6.4 It is your responsibility to ensure any validation of order codes, including purchase orders and approval codes, are correct at the time of Booking. Payment must not be withheld if any validation of order code is incorrect through no fault of Kasorb.
6.5 We request a minimum of 4-6 weeks' notice for Bookings, with 12 weeks' notice preferred for guaranteed delivery on a specified date.
6.6 Bookings made with less than 4 weeks' notice may be subject to additional charges and/or may not be available. Any additional charges will be advised at the time of Booking.
6.7 Specialist, bespoke or adapted course requests may require extended timeframes, which will be advised upon enquiry.
6.8 Once a Booking is confirmed, cancellation policies will apply as set out in Section 9.
6.9 A reminder email will be sent 7 days prior to the Course.
6.10 Following your first confirmed Booking, you may be provided with access to our booking management app, which provides live information on all your booked and delivered Courses, including delegate names and downloadable certificates.
6.11 Any changes to Booking information should be notified to Kasorb as soon as possible. Change requests to topic, date, timings or content will be treated as a cancellation and new Booking if Kasorb is unable to accommodate the changes within the existing Booking, and cancellation charges may apply.
6.12 Changes of venue must be notified at least 72 hours before the training date. The new venue must be within 5 miles of the original booking location to be treated as a free amendment. Changes to a venue over 5 miles from the original location may incur additional charges or be treated as a cancellation.
7.1 It is the Purchaser's responsibility to ensure that Learners attending a Course are free from any condition which would affect their capability to undertake the chosen Course, and that they have the aptitude to cope with an intensive course of study.
7.2 Kasorb welcomes Learners with disabilities, but it remains the Purchaser's responsibility to ensure that they are appropriately supported in the workplace and in relation to undertaking the Course.
7.3 The Purchaser must provide Kasorb with advance notification of any assistance that a Learner is likely to require during the delivery of a Course and/or of any special considerations that Kasorb should be aware of not less than 7 working days in advance of the Course delivery date. If no advance notification is received within this timeframe, the Booking Confirmation will be considered correct in full.
7.4 Each Course has a pre-approved maximum and minimum number of Learners per session, which will be advised at the time of Booking.
7.5 If the maximum participant limit is exceeded, Kasorb will, with the Purchaser's prior agreement, refer to the pre-course register (where available) or request volunteers to reschedule.
7.6 If the minimum participant requirement is not met, Kasorb will notify the Purchaser to discuss the situation. Should the minimum number remain unmet and with the Purchaser's agreement, the Course may be cancelled.
7.7 Delegates should arrive at least 15 minutes prior to the published start time of the Course. Any Delegate arriving later than 15 minutes after the published start time will be noted on the register.
7.8 Kasorb reserves the right to refuse entry to Delegates arriving more than 15 minutes late to the training and to withhold certification from any Delegate who is absent for any part of the training. Cancellation charges may apply in such circumstances.
7.9 Delegates should not attend training following a working night shift and may be turned away from the session.
7.10 Pre-course registers should be provided wherever possible no later than 24 hours ahead of the training day.
7.11 Details of training must be communicated internally by the Purchaser to all relevant staff attending, including date, time, venue, and any requirements for physical ability to undertake practical elements.
7.12 Delegate substitutions may be made free of charge up to 2 working days before the Course date, provided the substitute meets the eligibility requirements set out in this Section 7. Substitution requests must be submitted in writing to training@kasorb.com.
8.1 The Purchaser will pay to Kasorb, in consideration of the provision of the Services, the Course Fee as agreed and confirmed at the time of Booking.
8.2 Unless otherwise stated, Course Fees are exclusive of VAT, which will be added at the prevailing rate.
8.3 Course Fees do not include:
(a) Accreditation costs (workbooks, accredited certificates etc.) where applicable;
(b) Any extraordinary administrative tasks;
(c) Building of bespoke course requests.
8.4 Any additional expenses (for example, travel and accommodation expenses not included in the Course Fee) must be pre-approved by the Purchaser prior to being incurred by Kasorb and will be added to the relevant invoice.
8.5 Additional awarding body costs are charged at Kasorb's cost price. Courses that require the Purchaser to provide practical equipment which is not provided will be additionally charged at Kasorb's cost price.
8.6 Unless otherwise expressly agreed in writing, the Purchaser shall pay the Course Fee (together with any agreed expenses) to Kasorb in full and cleared funds within 30 days of the date of Kasorb's invoice.
8.7 New clients may be required to make pre-payment for the first Course booked, with 30-day payment terms applying to subsequent Bookings. Pre-payments not cleared at least 15 calendar days before the training delivery date may result in the Booking being cancelled.
8.8 If the Purchaser fails to make payment on the due date, Kasorb shall be entitled to charge interest on the overdue amount at the annual rate of 6% above the base rate of Barclays Bank plc. Interest shall accrue on a daily basis from the due date for payment until actual payment in full, whether before or after judgment.
8.9 Kasorb may suspend all or part of the Services until payment of the Course Fee and any applicable interest has been made in full.
8.10 Unless otherwise agreed with Kasorb or required by law, the Purchaser shall not be entitled to make any set-off in respect of amounts due to Kasorb.
9.1 If a request is made by the Purchaser to cancel the Services, in whole or in part, the following cancellation charges will apply:
9.2 Cancellation charges are calculated as a percentage of the Course Fee payable, inclusive of any materials, accreditation or other associated costs incurred.
9.3 Notice of cancellation must be submitted in writing and addressed to training@kasorb.com before 16:30pm. A cancellation will only be accepted upon receipt of an email confirmation from Kasorb.
9.4 In the event Kasorb cancels a Booking:
(a) More than 14 calendar days before the training date: Kasorb will reschedule the training to a new, mutually agreed date at no additional cost.
(b) 14 calendar days or less before the training date: The Course Fee will not be payable for the cancelled course. The Client may choose one of the following options:
(i) Free Replacement Course: A replacement course at no additional cost, subject to:
⦁ The replacement must be booked within 2 weeks of the original course date
⦁ Training must be delivered within 6 weeks of the original booking on a mutually agreeable date
⦁ The replacement must be at the same location and on the same topic as the original booking
⦁ If the Client fails to attend the replacement course without providing notice in accordance with Section 9.1, this offer shall be forfeited
⦁ This option may not be available for specialist courses
(ii) Full Refund with Future Credit: A full refund of any Course Fees paid, plus a credit note worth 15% of the original Course Fee value, redeemable against any future Kasorb training booking within 12 months of issue.
(c) The choice between options in clause 9.4(b) must be communicated to Kasorb within 7 calendar days of receiving notice of cancellation. If no selection is made within this period, a full refund will be processed automatically without the 15% credit.
10.1 For on-site training, the Purchaser must provide an acceptable venue which:
(a) Provides a suitably sized room adhering to a standard minimum distance of 1 metre squared per Delegate, and any specified minimum distance in relation to infection control requirements;
(b) Provides parking for the trainer, preferably on-site, or very close by with access to a loading bay to unload equipment. Any parking charges or restrictions must be highlighted at the time of Booking;
(c) Ensures the training room is accessible to the trainer at least 60 minutes before the course start time for set-up. Any accessibility issues must be highlighted at the time of Booking;
(d) Has toilets and handwashing facilities;
(e) Provides a suitable training environment at a sufficient temperature with no excess noise or other elements that could cause distraction.
10.2 The training room should be cleaned and ready for the trainer to set up upon arrival, with any obstacles or excess furniture cleared away beforehand.
10.3 Any equipment required for training that is to be provided by the Purchaser must be made available and adequately serviced/cleaned before and after training with any associated servicing certification.
10.4 The Purchaser must ensure that the 'Contact on the Day' is on site and contactable during the training. If unavailable, an alternative contact must be provided.
10.5 If the trainer is delayed or unable to attend for any reason, Kasorb will contact the booking contact and/or the contact on the day to inform of the issue and advise further.
10.6 Remote training is delivered via Zoom. Delegates must ensure they have the Zoom application installed in advance of training.
10.7 For remote training, Delegates must:
(a) Have a suitable environment for training with no interruptions. Delegates will not be permitted to remain in a session if undertaking childcare responsibilities or travelling;
(b) Have access to the Zoom platform and a stable internet connection;
(c) Have webcams and audio enabled. Cameras should be on at all times unless prior agreement has been made;
(d) Have no more than 2 Delegates per device unless prior agreement has been made;
(e) Arrive promptly. Kasorb reserves the right to refuse entry to late arrivals and withhold certification from any Delegate absent for any part of the training.
10.8 E-Certificates are available for download via our app within 7 days of Course completion, often available the next day.
10.9 Kasorb will endeavour to ensure that within 48 business hours of the training day, key information will be available to the Purchaser including attendee names, completed course register, and any other relevant documentation.
10.10 Any issues or failed Delegates will be notified to the Purchaser as soon as reasonably possible, normally within 48 business hours of course completion.
11.1 This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of Kasorb or our affiliates.
11.2 We assume no responsibility for the content of such websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.
11.3 The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

12.2 Each party undertakes to comply at all times with the UK General Data Protection Regulation (UK GDPR) and other applicable data protection laws to the extent it processes any personal data in connection with Bookings or Services.
12.3 In particular, each party shall:
(a) Only carry out processing of personal data in accordance with the other's instructions and in accordance with these terms;
(b) Only disclose personal data to those employees, agents or sub-contractors who require such access for the performance of the Services and who are bound by appropriate confidentiality obligations;
(c) Assist the other with all subject access requests or other enquiries received from data subjects;
(d) Notify the other party without undue delay upon becoming aware of any actual or suspected personal data breach.
12.4 All remote training sessions and a selection of face-to-face sessions may be recorded for internal training and quality control purposes. Any personal information shared during sessions will be held for a maximum of 30 days and processed in accordance with UK GDPR.
13.1 Any online facilities, tools, services or information that Kasorb makes available through the Website is provided "as is" and on an "as available" basis. We give no warranty that the service will be free of defects and/or faults. To the maximum extent permitted by law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.
13.2 Whilst Kasorb uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard and all Users take responsibility for their own security, that of their personal details and their computers.
13.3 Kasorb accepts no liability for any disruption or non-availability of the Website, including the online booking system.
13.4 Kasorb reserves the right to alter, suspend or discontinue any part (or the whole of) the Website including, but not limited to, any products and/or services available. These terms and conditions shall continue to apply to any modified version of the Website unless expressly stated otherwise.
14.1 Kasorb warrants that it shall provide the Services with due care and skill.
14.2 If the Services are performed in breach of clause 14.1, Kasorb will at its option make good the performance, re-perform the Service or refund the relevant Course Fee, subject to availability and the performance being proved to be deficient to the reasonable satisfaction of Kasorb. These obligations will not apply where:
(a) The part of the Service concerned was based on information supplied by or varied from the normal Service at the specific request of the Purchaser; or
(b) The Purchaser failed to notify Kasorb of the defect within 24 hours of the supply.
15.1 Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.
15.2 We will not be liable to you in respect of any losses arising out of events beyond our reasonable control.
15.3 Subject to clause 15.1, Kasorb shall not be liable for consequential, indirect or special losses.
15.4 Subject to clause 15.1, Kasorb shall not be liable for any of the following (whether direct or indirect):
(a) loss of profit;
(b) loss or corruption of any data, database or software;
(c) loss of use;
(d) loss of production;
(e) loss of contract;
(f) loss of opportunity;
(g) loss of savings, discount or rebate (whether actual or anticipated);
(h) harm to reputation or loss of goodwill.
15.5 Subject to clauses 15.1, 15.3 and 15.4, Kasorb's aggregate liability under these terms and conditions (howsoever arising) for any damage or loss will be limited to the amount paid by the Purchaser for the Services concerned.
16.1 Kasorb will not be liable to the Purchaser for any failure or delay or for the consequences of any failure or delay in performance of its obligations under these terms and conditions if it is due to any event beyond its reasonable control including, without limitation, acts of God, war, industrial disputes, protests, fire, flood, storm, tempest, explosion, an act of terrorism, strikes, epidemics, pandemics and national emergencies.
17.1 Any issues with a Course should be reported to Kasorb within 24 hours of the course delivery date (excluding weekends and bank holidays) via email.
17.2 If the Purchaser wishes to escalate an issue to an official complaint, a complaints form will be provided which must be fully completed and returned to initiate an investigation.
17.3 We aim to fully investigate and respond to complaints within 7 days of the form being received with a proposed solution.
17.4 Once a response is received, we require a response from the Purchaser within 7 days. If no response is received, Kasorb will send a reminder and may close the complaint with no further action.
17.5 Complaints should be resolved with a mutually agreeable solution no later than 4 weeks from the date of submission.
17.6 In the event of a dispute concerning the Services, the parties shall use their reasonable endeavours to resolve it as soon as practicable. If they fail to do so within 14 days, the parties shall try to agree on and implement a method of dispute resolution.
18.1 You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.
18.2 These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version. Variations will not affect Bookings already confirmed unless agreed in writing.
18.3 These terms and conditions together with the Privacy Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.
18.4 The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.
18.5 If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.
18.6 Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
18.7 Each party acknowledges and agrees that information concerning the other party or the terms of any Booking is confidential and shall not be disclosed to any third party (other than employees, agents or sub-contractors who require such information for the performance of Services) without the prior written consent of the disclosing party, unless required by law.
18.8 Any demand, notice or communication may be given by hand, sent by tracked first class prepaid post or email and shall be deemed duly served: if delivered by hand, when left at the address of the other; if sent by tracked prepaid first class post, when tracking confirms delivery; if sent by email, on confirmation of receipt by the other party.
18.9 This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
